The MX-5 Owners Club is a membership based organisation operating on behalf of, and for the benefit of its members. It operates as MX-5 Owners Club Limited which is a company limited by guarantee without share capital.
The Memorandum of Association is the ‘constitution’ of the Club and Company, this sets out the various legal details of the Company, including the business purpose under which the Company is formed. These, along with the Articles of Association, provide guidance for the Club’s operation, as well as defining the framework within which the Club operates.
